1. GENERAL PROVISIONS

1.1. These terms of service, together with the other documents referred to in these terms of service (hereinafter referred to as the “Terms of Service”), are a binding legal agreement between the User (or “you”) and the Service Provider (or “us”, ‘we”) that govern use of the Services (as defined in point 1.4.2), and establishes the rights, obligations and liability of the Parties.
1.2. By using the Platform and any of the Services therein, as well as by registering an Account, you confirm that you have read these Terms of Service and rights and obligations of the User established therein and agree to adhere to them unconditionally and irrevocably. If a User does not agree to assume and adhere to all obligations set forth in these Terms of Service, the User shall not have the right to register an Account, use the Platform and Service therein.
1.3. The Services are intended for users that aren’t consumers (being an individual acting primarily for purposes other than a trade, business or profession) and the applicability of consumer protection legislation is therefore excluded. You must be 18 years of age or older to enter into this agreement and use the Services. You represent and warrant that any information you submit is true and accurate, you are fully able and competent, and you have the authority to represent the entity on whose behalf you register an Account and use the Services, if applicable.
1.4. Capitalized terms used in these Terms of Service shall have the following meanings:
1.4.1. Terms of Service – the Terms of Service set herein are a binding legal agreement between the Parties, that establishes the terms and conditions for the use of the Platform and Services provided therein, as well as the rights, obligations and liability of the Parties for violation of these Terms of Service.
1.4.2. Services – shall mean: 1) analytics solution platform “PLY Markets” that allows Users to get a unique insight into the financial data of public companies listed on various securities exchanges and alternative trading systems by using the Service Provider collected comprehensive public financial data and analytical templates that allow Users to analyze and compare financial data faster and easier; (and) or 2) a platform „PLY Strategies“ (more information in Annex 1 of these Terms and Conditions) is an educational platform that displays simulations of hypothetical investments in predefined strategies using historical market data, allowing Users to observe and analyze portfolio behavior under various market conditions. Together 1) and 2) platforms hereinafter referred to as „Services“ or both individually as „Service“.
1.4.3. Platform – means the web-based software solution, provided and operated by the Service Provider, which allows Users to access and use the educational and informational Services described in these Terms of Service.
1.4.4. Service Provider – the entity providing Services and administering and maintaining the Platform, UAB “Finansų analizės ir valdymo sprendimai”, legal entity code 303500896, legal address 5 Ulonų str., LT-08240 Vilnius, Lithuania. Data about the Service Provider are collected and stored in the Register of Legal Entities, Register State Enterprise Centre of Registers. Service Provider’s VAT identification number – LT100009077919.
1.4.5. User – a person or its authorized representative who use the Platform and Service therein.
1.4.6. Account – the result of the User’s registration with the Platform, which creates a personal account for the User that stores his or her Personal Data and history on usage of Services.
1.4.7. Financial Data – is the financial data of public companies or other instruments listed on a various stock exchange markets that is collected and reported by Service Provider on the Platform based on publicly available sources on official pages of the public companies and various securities exchanges and alternative trading systems. The provided Financial Data is updated on daily basis following the changes in data on the aforementioned publicly available sources, but regularly updated financial data is accessible just for Users on the Service subscription basis. The scope of the Financial Data provided to the Users depends on Users selected Services.
1.4.8. Personal Data – any information collected by the Service Provider about the User or representative thereof (natural person) as defined in Article 4(1) of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation).
1.4.9. Intellectual Property Rights – any present and future rights in and to trade secrets, patents, copyrights, trademarks, service marks, know-how, and other proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the Platform and Services.
1.4.10. Parties – the Service Provider and the User.
1.5. All information provided to the Users in relations of Services, as well as reachable via the Platform and gathered using Services could not be treated as investment advice, tax consultation, any offering or any other provision of services related to the securities and (or) any other financial instruments. The Services provided by the Service Provider are strictly educational, informational, and analytical. The Services consist of the collection of Financial Data and its presentation to the Users through analytical tools for the analysis of this Financial Data only. Neither the Service Provider nor any of its representatives will:
1.5.1. provide the User with investment advice or recommendation of any kind;
1.5.2. offer any opinion regarding the suitability, appropriateness, or personal relevance of any financial instrument, account type, order, transaction, investment strategy, or advisor;
1.5.3. solicit any order, trade, or transaction;
1.5.4. monitor any User Account or the data it analyzes;
1.5.5. alert the User to any changes in market conditions or Financial data;
1.5.6. provide legal, tax, accounting, or regulatory advice (collectively – “Advice”).
1.6. Nothing on the Platform is available constitutes, or shall be deemed to constitute:
1.6.1. a recommendation or solicitation to invest, buy, sell, hold, or trade in any securities, financial instruments, or other investment products; or
1.6.2. a suggestion that any security, product, strategy, or portfolio is suitable, appropriate, or tailored to the User.
1.7. The User acknowledges and agrees that:
1.7.1. the Services do not conduct suitability or appropriateness assessments;
1.7.2. the simulations and outputs are purely hypothetical and do not reflect actual investment results;
1.7.3. any investment or trading decision made by the User is based solely on the User’s own judgment, evaluation of Financial Data and independent consideration of their personal financial circumstances;
1.7.4. the Service Provider is not responsible for, and expressly disclaims liability regarding, the suitability, appropriateness, or outcome of any decision or action taken by the User.
1.8. The Service Provider does not endorse, verify, or assume responsibility for any advice, content, or representations provided by third parties, including but not limited to information accessible via references or links on the Services platforms (such as official websites).
1.9. The simulations and outputs generated by the Services in Platform are presented on a pre-tax and hypothetical basis. They do not reflect or consider the User’s personal tax circumstances, jurisdiction-specific tax laws, reporting obligations, or future changes in taxation. The Service Provider does not provide tax advice of any kind. Users are solely responsible for assessing the potential tax consequences of any real investment decisions and are strongly advised to consult independent tax professionals before making such decisions.
1.10. The Service Provider shall process the User’s Personal Data in accordance with the Privacy Policy. The Personal Data Protection and Privacy Policy contains important provisions of the Terms of Service, so it is recommended that the User read them carefully and make sure that all the provisions of the Privacy Policy are understandable and acceptable; available in the Privacy Policy section in the Platform.
1.11. These Terms of Service shall be governed, construed, and enforced in accordance with the laws of the Republic of Lithuania, without giving effect to conflicts-of-law principles thereof. If any provision of these Terms of Service contradicts the legislation of the Republic of Lithuania or becomes invalid in whole or in part for any reason, it shall not invalidate the remaining provisions of the Terms of Service.
1.12. The Service Provider reserves the right to change, amend or supplement these Terms of Service at any time. User shall be informed about changes to the Terms of Service via Platform or Account, or by email. Unless otherwise specified by Service Provider, changes become effective for User upon renewal of the then-current subscription term or entry into a new subscription after the updated version of these Term of Service goes into effect. User may be required to click to accept or otherwise agree to the modified Terms of Service before renewing a subscription term or entering into new subscription, and in any event continued use of any Service after the updated version of this Terms of Service goes into effect will constitute User’s acceptance of such updated version.

2. ACCESS TO THE PLATFORM, SERVICE, AND USE RESTRICTIONS

2.1. Service Provider hereby grants you the right to access the Platform and use any Services, subject to your compliance with these Terms of Service at all times, including timely payment of all applicable fees (if any). User’s right to access and use any of the Services is personal, limited to your personal purposes, non-transferable, non-exclusive, and revocable.
2.2. All Users must register an Account on the Platform to use any of the Service. User shall agree to:
2.2.1. provide accurate, current and complete information as may be prompted by on Account registration form on the Platform;
2.2.2. maintain the security of, and not share with any third party, any logins, passwords, or other credentials that Users owns for use of any the Services;
2.2.3. maintain and promptly update the Personal Data, and any other information provided, and to keep all such information accurate, current, and complete, and
2.2.4. notify Service Provider immediately of any unauthorized use of an Account or any other breach of security by emailing Service Provider.  Any activity on User’s Account shall be the sole responsibility of the User.
2.3. Access and use of the Platform and any Service is possible when Service Provider has identified the User by the User’s e-mail address and password indicated at the moment of registration of the Account.
2.4. Without limiting the generality of the foregoing, User shall not, shall not attempt to, and shall not permit or encourage any third party to:
2.4.1. reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain improper access to any software component of the Platform and Services, in whole or in part;
2.4.2. modify or create derivative works of the Platform and Services, in whole or in part;
2.4.3. use the Platform and Services in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any third party;
2.4.4. interfere with or disrupt the integrity of the Platform and Services, or any content or data contained therein or transmitted thereby;
2.4.5. access, monitor, or copy any content or information on the Platform and Services using any robot, spider, scraper, or other automated means or any manual process for any purpose incompatible with the essence of the Services without Service provider express written permission;
2.4.6. violate the restrictions in any robot exclusion headers on the Platform and Services or bypass or circumvent other measures employed to prevent or limit access to the Platform and Services;
2.4.7. take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
2.4.8. “frame”, “mirror,” sell, resell, rent, or lease any portion of the Platform and Services or otherwise incorporate any part of the Platform and Services into any other website without our prior written authorization;
2.4.9. input any virus, malware, or other harmful code into the Platform, Account, Services;
2.4.10. use the Platform and Services, or any provided Financial Data  analyzing solutions for benchmarking or competitive analysis with respect to competitive or related products or services or to develop, commercialize, license, or sell any product, service, or technology that could, directly or indirectly, compete with the Services and Platform; or
2.4.11. violate any applicable local, provincial national, or international law or regulation.
2.5. Service Provider reserves the right to suspend provision of any Service, if Service Provider deems such suspension necessary as a result of User’s breach of these Terms of Service, or/and if Service Provider reasonably determines suspension is necessary to avoid material harm to Platform and Services or its other users, including if the Services is experiencing denial of service attacks, mail flooding, or other attacks or disruptions outside of Service Provider control, or/and as required by law or at the request of governmental entities.

3. SERVICE SUBSCRIPTION, FEES AND PAYMENT

3.1. Access to certain features of the Platform and Services may be provided to User free of charge, while access selected features of Services may be provided on a Service subscription basis. Additional information regarding the Services subscription plans and pricing may be found on the Pricing section of the Platform.
3.2. Service Provider reserves the right to implement new fees or change the fees for certain Services at any time in accordance with the general procedure for amending and informing the Users about the change of these Terms of Service.
3.3. Selected subscription plan of the Services are billed either monthly or annually (depending on Services and subscription plan). User shall select available payment method.  Selected payment method will be charged automatically on a recurring monthly or annual basis. User’s subscription will be renewed automatically, and User will be charged in advance of each billing cycle unless User cancel under the order described in clauses 6.2, 3.6 of Terms of Service.
3.4. By purchasing any Service subscription, User authorizes Service Provider or its third-party payment processors to charge the credit or debit card identified by User (which User represents and warrants that User is authorized to use) all applicable fees for purchase, including all applicable taxes, and User agrees that Service Provider or its payment provider can store User’s credit card information. If Service Provider does not receive payment from User’s credit card provider, User hereby agrees to pay all amounts due upon demand and Service Provider may suspend User’s access to the Services until full payment is received or terminate the Service.
3.5. The third-party payment system Stripe is used to make all User payments on subscribed plan and to store credit or debit card information. The Stripe system operator and supplier is Stripe Payments Europe, Ltd, C / O A & L Goodbody, Ifsc, North Wall Quay Dublin D01 H104, Dublin, Ireland. The payment service provider operates under an electronic money institution license issued by the Central Bank of Ireland ([license number]).
3.6. All delivered payments for subscribed plans are final, and Service Provider will not issue refunds, including for monthly/annually Services subscription fees. By cancelling a monthly/annual subscription, all future charges associated with future months of User’s subscription will be cancelled. User may notify Service Provider of User’s intent to cancel at any time; User’s cancellation will become effective at the end of User’s current monthly/annual billing period. User will not receive any refund; however, User’s subscription access and/or delivery and accompanying subscriber benefits will continue for the remainder of the current monthly/annual billing period. If User choose an automatic recurring payment and later decide to end selected subscription, cancelling the payment is solely User’s responsibility.
3.7. If Service Provider terminates, suspends or in any other way limits User’s access to the Platform and (or) Services, because of User’s fault, any breaches of Terms of Services, all delivered payments for subscribed plans are final, and Service Provider will not issue any refunds, including for monthly/annually Services subscription fees.
3.8. If the Service Provider terminates, suspends, or otherwise restricts the User’s access to the Platform and/or Services without fault on the part of the User, the Service Provider shall refund a proportional amount of the fees paid. The refund will be calculated based on the number of days or months during which the User had access to the Services.

4. INTELLECTUAL PROPERTY

4.1. The Platform and Services, and all of the content it contains, or may contain in the future, including but not limited to text, content, photographs, video, audio and graphics, goods, designs, information, applications, software, music, audio files, articles, directories, guides, photographs as well as trademarks, service marks, trade names, trade dress, copyrights, logos, domain names, code, patents and/or any other form of intellectual property that relates to this Platform or/and Service, are owned by or licensed by Service Provider or other third parties and are protected from any unauthorized use, copying and dissemination by copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the Republic of Lithuania and other countries.
4.2. User agrees to protect the proprietary rights of Service Provider and all others having rights in the Services during and after the Services provision term and to comply with all reasonable written requests made by Service Provider or its suppliers and licensors of content, equipment, or otherwise (“Suppliers”) to protect their and others’ contractual, statutory, and common law rights in the Services.
4.3. During the provision of the Services, in accordance with these Terms of Service, the User is granted the non-exclusive right to use the Platform or/and Services, database and the Financial Data, and its analyzing solutions provided by Service Provider only for direct personal use. User agrees to notify Service Provider in writing promptly upon becoming aware of any unauthorized access or use of the Services by any individual or entity of any claim that the Services infringes upon any copyright, trademark, or other contractual, statutory, or common law rights. All the Intellectual Property Rights shall, as between User and Service Provider, at all times be and remain the sole and exclusive property of Service Provider. All present and future rights in and title to the Service (including the right to exploit the Service and any portions of the Service over any present or future technology) are reserved to Service provider for its exclusive use. Except as specifically permitted by these Terms of Service, User may not copy or make any use of the Service or any portion thereof.

5. DISCLAIMER AND LIMITATION OF LIABILITY

5.1. USER AGREES THAT USE OF THE SERVICES IS AT USER’S SOLE RISK AND ACKNOWLEDGE THAT THE SERVICES AND ANYTHING CONTAINED WITHIN THE SERVICES, INCLUDING, BUT NOT LIMITED TO, CONTENT, SERVICES, FINANCIAL DATA, AND/OR ANALYTICS SOLUTIONS FOR THE ANALYSIS OF THIS FINANCIAL DATA, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND THAT SERVICE PROVIDER TO THE MAXIMUM EXTENT PERMITTED BY LAW MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE OR USE OR THOSE ARISING BY STATUTE OR OTHERWISE IN LAW FROM A COURSE OF DEALING OR USAGE OF TRADE OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SERVICE PROVIDER DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THESE SERVICES OR THE SERVICE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN ADVICE OR INFORMATION USER RECEIVES FROM THE DATA PROVIDED BY THE SERVICE PROVIDER WILL CREATE A WARRANTY, AND USER IS NOT ENTITLED TO RELY UPON ANY INFORMATION.
5.2. User acknowledges that, regardless of the fact that the Services include Financial Data taken from publicly available sources on official pages of the public companies or other financial instruments, Services are provided for information purposes only and is not intended for trading and/or investment purposes and Service Provider, does not guarantee the sequence, accuracy, completeness, or timeliness of the provided Financial Data or any other information that was collected by Service Provider from aforementioned publicly available sources and reported on the Platform, and none of the information contained on this Platform constitutes a solicitation, offer, opinion, endorsement or recommendation by Service Provider to buy or sell any security, or to provide legal, tax, accounting, or investment advice or services regarding the profitability or suitability of any security or investment, and the information provided on this Platform is not intended to use by, or distribute to, any person or entity in any jurisdiction or country where such use or distribution would be contrary to law or regulation. Accordingly, anything to the contrary herein set forth notwithstanding, Service Provider, its Suppliers, agents, directors, officers, employees, representatives, successors, and assigns shall not, directly or indirectly, be liable, in any way, to you or any other person for any: inaccuracies or errors in or omissions from the Service including, but not limited to, Financial data; and/or delays, errors, or interruptions in the transmission or delivery of the Services; or loss or damage arising therefrom or occasioned thereby, or by any reason of non-performance.
5.3. UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL SERVICE PROVIDER, ITS PARENTS, AFFILIATES, SUBSIDIARIES, SUPPLIERS, AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, SUCCESSORS, LICENSORS OR ASSIGNS BE LIABLE TO USER OR ANY THIRD PERSON FOR DAMAGES OF ANY KIND, WHETHER BASED IN TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES EVEN IF SERVICE PROVIDER HAS BEEN ADVISED SPECIFICALLY OF THE POSSIBILITY OF SUCH DAMAGES, ARISING IN ANY WAY FROM OR IN CONNECTION WITH THIS PLATFORM AND SERVICES, USE OF OR INABILITY TO USE THE SERVICES OR ANY LINKS OR ITEMS ON THE SERVICES OR ANY PROVISION OF THESE TERMS OF SERVICES, SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL SERVICE PROVIDER TOTAL LIABILITY TO USER FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING BUT NOT LIMITED TO, NEGLIGENCE) EXCEED THE AMOUNT PAID BY USER, IF ANY, FOR THE SERVICE.
5.4. NEWSLETTER DISCLAIMER. THE SERVICE PROVIDER MAY, FROM TIME TO TIME, SEND NEWSLETTERS, UPDATES, OR SIMILAR COMMUNICATIONS (THE “NEWSLETTER”) TO USERS. THE NEWSLETTER IS PROVIDED STRICTLY FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. THE NEWSLETTER DOES NOT CONSTITUTE INVESTMENT ADVICE, FINANCIAL ADVICE, TAX ADVICE, LEGAL ADVICE, OR A RECOMMENDATION OF ANY KIND. IT DOES NOT TAKE INTO ACCOUNT THE USER’S INDIVIDUAL CIRCUMSTANCES, OBJECTIVES, RISK PROFILE, OR TAX ENVIRONMENT. ANY OPINIONS, ANALYSES, DATA, OR OTHER CONTENT INCLUDED IN THE NEWSLETTER ARE ILLUSTRATIVE ONLY AND SHOULD NOT BE RELIED UPON AS A BASIS FOR MAKING REAL INVESTMENT DECISIONS. USERS REMAIN SOLELY RESPONSIBLE FOR THEIR OWN INVESTMENT DECISIONS AND ARE STRONGLY ENCOURAGED TO SEEK INDEPENDENT PROFESSIONAL ADVICE BEFORE ENGAGING IN ANY INVESTMENT ACTIVITY.

6. TERMINATION

6.1. User’s Account and subscription of the Services are automatically renewed and remain in effect unless you terminate it or unless the Service Provider terminates User’s Account as provided by these Terms of Service.
6.2. User may terminate the Terms of Service, with or without cause and at any time, by completing the following steps:
6.2.1. Sign in to the User zone using valid account credentials (email/username and password);
6.2.2. Navigate to the “Plans” section within the account dashboard;
6.2.3. Select the active subscription plan and next to the section “Auto renewal” choose the option “turn auto renewal off”.
6.3. Service Provider reserves the right, in its sole discretion, to restrict, suspend, or terminate User’s access to and use of the Platform and Services, with or without prior notice as a result of User’s breach of these Terms of Service, or/and if Service Provider reasonably determines suspension is necessary to avoid material harm to Platform or its other users, including if the Services are experiencing denial of Services attacks, mail flooding, or other attacks or disruptions outside of Service Provider control, or/and as required by law or at the request of governmental entities, as well as having other objective grounds. In such cases, if termination or suspension occurs due to the User’s fault or breach of these Terms, no refund shall be issued as stated in clause 3.7. However, if the Service Provider terminates or suspends access without fault on the part of the User, the User shall be entitled to a proportional refund of the subscription fee paid, calculated based on the unused portion of the subscription period as stipulated in clause 3.8.

7. FINAL PROVISIONS

7.1. These Terms of Service, including all disputes, shall be governed and construed in accordance with the laws of the Republic of Lithuania, without giving effect to conflicts-of-law principles thereof. Any disputes arising from these Terms of Service shall be settled by a negotiation. Should the parties fail to reach an agreement, you agree to submit to the personal jurisdiction of courts located in Vilniaus District in the Republic of Lithuania concerning any legal proceedings that may arise in connection with the Service or from a dispute as to the interpretation or breach of the Terms of Service and wave any objection to such jurisdiction.
7.2. In connection with your use of the Platform and Services, you may be asked to consent to policies or terms and conditions in addition to these Terms of Service. Please read these supplemental policies and terms carefully before use of the Platform, registration an Account and use any Service. Any supplemental terms will not vary or replace these Terms of Service unless otherwise expressly stated.
7.3. Unless otherwise specified herein, the Terms of Service constitute the entire agreement between User and the Service Provider and govern User’s use of the Service. If any portion of the Terms of Service is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect.

Annex 1 to the Terms and Conditions

DESCRIPTION OF THE PLATFORM „PLY STRATEGIES“

1. PURPOSE OF THE PLATFORM

1.1. The Platform “PLY Strategies” (hereinafter referred to as “the Platform”) is an educational platform that displays simulations of hypothetical investments in predefined strategies using historical market data, allowing Users to observe and analyze portfolio behavior under various market conditions.
1.2. By using the Platform’s functionality, the User may select one or more available Strategies and explore them in greater detail. This includes analyzing asset allocation, reviewing historical data, examining key financial ratios, and accessing other relevant information to enhance understanding of investment strategies.
1.3. The results generated by the Platform are illustrative only. They do not represent forecasts, guarantees or predictions of future performance and are provided without consideration of the User’s personal financial situation, risk profile or tax environment.
1.4. The Platform does not provide investment, financial, tax or legal advice and it does not conduct any  suitability or appropriateness assessment within the meaning of applicable regulations.
1.5. Unless otherwise defined in this Annex, capitalized terms shall have the meanings assigned to them in the Terms of Services.
1.6. Annex 2 is an integral part of Terms of Service and cannot be separated from them. Annex provides additional details and clarifications that support the interpretation and application of the Platform.

2. DEFINITIONS USING AT THE PLATFORM

2.1. Historical Data – means publicly available market and financial information, including prices, returns, and other quantitative indicators of financial instruments, indices, or asset classes, which are used by the Platform to simulate and illustrate portfolio and Strategy performance.
2.2. Strategy(ies) – means the pre-defined model-based hypothetical approaches made available on the Platform, each representing a simulated allocation of assets constructed using Historical Data and specific model parameters (such as weighting rules, asset selection criteria, or rebalancing frequency).
2.3. Performance Metrics – means the quantitative indicators showing the hypothetical performance of the Strategy, including but not limited to initial and current portfolio value, period returns (e.g., year-to-date, 1 month, 3 months, 6 months, 1 year), and annualized returns over longer time horizons (e.g., 3 years, 5 years, 10 years, or since inception).
2.4. Risk Metrics – means the quantitative indicators describing the statistical characteristics of the simulated portfolio’s risk profile, which may include, among others:
2.4.1. Volatility – the degree of variation in portfolio returns over time.
2.4.2. Sharpe ratio – a measure of risk-adjusted return, calculated as the excess return over risk-free rate divided by volatility.
2.4.3. Max drawdown – the largest observed decline from a peak to a trough in portfolio value of specific Strategy.
2.4.4. MAR ratio – a ratio of annualized return to maximum drawdown.
2.4.5. Max drawdown duration – the longest period of time required for the portfolio of specific Strategy to recover from a drawdown.
2.4.6. Correlation – the degree of statistical relationship between the portfolio of specific Strategy and a benchmark.
2.4.7. Beta – the measure of sensitivity of the portfolio’s returns of specific Strategy relative to market or benchmark movements.
2.4.8. Alpha – the excess return of the portfolio of specific Strategy relative to the return expected based on its beta.
2.4.9. Average monthly gain/loss – the average increase or decrease in monthly returns.
2.4.10. % of positive months – the proportion of months in which the portfolio of specific Strategy generated a positive return.
2.5. Portfolio Composition – means the breakdown of the simulated portfolio of specific Strategy into its constituent assets, showing for each asset name, symbol, shares, market price, value and %.
2.6. Target Assets Allocation – means the intended percentage distribution of the simulated portfolio of specific Strategy across different asset classes and specific instruments, as determined by the selected strategy or model.
2.7. Transactions – means the record of simulated portfolio operations carried out within the model. All Transactions are part of the hypothetical simulation and do not represent real investment activity.
2.8. Risk – means the section of the simulation that illustrates the historical or hypothetical behavior of the portfolio of specific Strategy and its benchmark in terms of risk-related measures. These metrics are presented graphically to show how the portfolio’s and benchmark’s risk characteristics have evolved over time. This section may display time series or comparisons for indicators such as:
2.8.1. Drawdown (DD) – the decline in portfolio value of specific Strategy from peak to trough.
2.8.2. Volatility – the degree of variation in returns of portfolio of specific Strategy.
2.8.3. Sharpe ratio – the risk-adjusted return measure over a given trailing period.
2.8.4. MAR ratio – the ratio of annualized return of portfolio of specific Strategy to maximum drawdown.
2.8.5. Correlation (Corr) – the statistical relationship between the portfolio of specific Strategy and a reference index.
2.9. Asset Allocation History – means the record of how the simulated portfolio’s allocation of specific Strategy across different asset classes has changed over time.
2.10. Returns – means the graphical representation of the simulated portfolio’s percentage gains or losses of specific Strategy over time, compared against a reference index.
2.11. Model’s Factors – means the underlying indicators or trend variables used by the simulation model to generate portfolio allocations of specific Strategy and Strategy signals.
2.12. Contribution Analysis – means the breakdown of the simulated portfolio’s of specific Strategy overall return by showing how much different asset classes or individual instruments contributed to performance.
2.13. Return Distribution – means the statistical representation of how simulated portfolio of specific Strategy returns are distributed over different time periods.
2.14. Monthly Statistics – means the tabular summary of performance and risk indicators calculated on a monthly basis for individual asset classes, asset combinations, and the simulated strategy. The Monthly Statistics can be viewed for different regimes (e.g., Risk-On, Risk-Off) or across the entire simulation period.
2.15. Annual Strategy Return – means the annualized percentage return of the simulated Strategy, calculated over a given year.
2.16. Annual Index Return – means the annualized percentage return of a reference market index, calculated over a given year for comparison with the Strategy.
2.17. Strategy Volatility – means the degree of variation in the returns of the simulated Strategy over a defined period, expressed as a statistical measure of risk.
2.18. Index Volatility – means the degree of variation in the returns of the reference market index over a defined period, expressed as a statistical measure of risk.
2.19. Strategy Shape Ratio – means the risk-adjusted performance measure of the simulated Strategy, calculated by dividing its excess return over the risk-free rate by its volatility.
2.20. Index Shape Ratio – means the risk-adjusted performance measure of the reference index, calculated by dividing its excess return over the risk-free rate by its volatility.

3. ACCESS, MEMBERSHIP AND PRICING OF THE PLATFORM
Access to the Platform

3.1. The Platform is available online at www.plystrategies.com and can be accessed only by registered Users.
3.2. Registration is required in order to create a User Account and to access the functionalities of the Platform.
3.3. Upon registration, Users may access a limited free version of the Platform, which includes partial access to analytical content and sample strategies for demonstration and educational purposes.
3.4. Full access to all Strategies, Historical data, asset allocation, ratios, other metrics, Strategy portfolio results, etc., is available only to subscribed Users after payment of the applicable subscription fee.

Strategies and Usage

3.5. The Platform provides a curated selection of pre-defined Strategies, each designed to illustrate different approaches to portfolio construction and asset allocation.
3.6. Each Strategy is built upon a model portfolio that utilizes historical market data and follows specific allocation rules. These rules define how assets are distributed across various categories, helping Users understand the underlying logic of each Strategy.
3.7. Users may choose one or more Strategies to explore in detail. The Platform allows them to analyse hypothetical investments, review asset allocation, review historical performance data, examine financial ratios, and access other relevant insights that support educational learning.
3.8. All results, including portfolio performance and investment outcomes displayed for any selected Strategy, are entirely hypothetical and intended for illustrative and educational purposes only. They do not represent actual investment results and should not be interpreted as financial advice or guarantees of future performance.
3.9. More detailed information regarding disclaimers and limitations of Liability shall be carefully read by User at the clauses 1.5-1.9, Section 5 of the Terms of Services.

Membership and Subscription

3.10. Users may become subscribed members by selecting a subscription plan and completing payment through the available payment methods provided on the Platform.
3.11. Subscription options and pricing are clearly displayed on the Platform. Currently, the Platform offers only annual subscription plans, which provide Users with access to the Services for a full calendar year upon payment of the corresponding fee.
3.12. At its sole discretion, the Service Provider may offer various pricing tiers or special access arrangements. These may include, for example, subscriptions limited to a single Strategy, trial access for a limited period, or promotional discounts.
3.13. All prices are stated in euros (EUR) and include applicable taxes, unless explicitly indicated otherwise. Users are responsible for ensuring that their payment method is valid and that any currency conversion fees or bank charges are covered by them.

Payment Terms and Methods

3.14. Subscription fees must be paid by User in advance, either at the time of initial registration or upon renewal of the subscription.
3.15. Payments can be made using the payment methods specified on the Platform, which may include credit or debit cards, online payment systems, or bank transfers. The Service Provider reserves the right to update or modify available payment options at any time.
3.16. Access to the Platform and its Services is granted only after the payment has been successfully processed. Users will receive confirmation of activation via the contact details provided during registration.
3.17. All subscription fees paid are non-refundable. This includes cases where the User voluntarily terminates access or ceases to use the Platform before the end of the paid subscription period. Additionally, no refunds will be issued if access is terminated due to a breach of these Terms by the User. Exceptions to this policy may be granted solely at the discretion of the Service Provider and only under specific circumstances outlined in these Terms.

Renewal and Termination

3.18. Subscription renewal is governed by the Terms of Service. Unless otherwise specified, subscriptions are valid for one calendar year from the purchase date and may be renewed by the User prior to the expiration date by submitting payment through the Platform. The Service Provider may send reminders or notifications regarding upcoming renewals, but it is the User’s responsibility to ensure timely renewal to avoid service interruption
3.19. The User may terminate their subscription at any time; however, as stated in Clause 3.17, subscription fees are non-refundable. Termination will result in the loss of access to the Platform and its Services at the end of the current subscription period.
3.20. The Service Provider reserves the right to suspend or terminate a User’s access to the Platform and Services in cases of breach of the Terms of Service, misuse of the Platform, or other violations as outlined in these Terms of Service. In such cases, no refund will be issued.
3.21. All matters related to subscription renewal, termination, and access rights are regulated by Terms of Service. Users are encouraged to review the Terms of Service regularly to stay informed about any updates or changes.

Changes to Pricing and Services

3.22. The Service Provider reserves the right to modify subscription prices, available plans, features, or access conditions at any time. Any such changes will apply only to new subscriptions or renewals made after the changes have taken effect. Users will be informed of significant changes through the Platform or other communication channels, as outlined in Terms of Service.
3.23. Existing active subscriptions will remain valid until their expiry date under the terms, pricing, and conditions that were applicable at the time of purchase. Any modifications introduced by the Service Provider will not affect the current subscription period unless otherwise stated in these Terms of Service.

Final Provisions

3.24. This Annex forms an integral and inseparable part of the Terms and Conditions of the Service Provider and shall be interpreted in conjunction with them.
3.25. The purpose of this Annex is to provide a clear and transparent explanation of the Platform’s functionality, features, pricing, and usage conditions.
3.26. The information contained herein is provided strictly for informational and educational purposes. Nothing in this Annex or on the Platform shall be interpreted or construed as investment, financial, tax, or legal advice, or as a recommendation to buy or sell any financial instrument.
3.27. In the event of any inconsistency or conflict between the provisions of this Annex and the main body of the Terms and Conditions, the provisions of Annex shall prevail.
3.28. The Service Provider reserves the right to amend or update this Annex from time to time to reflect any changes in the Platform’s functionality, pricing, or applicable legal requirements. The updated version of the Annex will be published together with the Terms of Service on the Platform.
